1. Agreement to these Terms
These Terms of Service ("Terms") are a legal agreement between you and Jeremiah Adinnu, operating as AudioClair AI ("AudioClair AI", "we", "us", "our"). They govern your access to and use of the AudioClair AI website at https://audioclair-ai.lovable.app, the progressive web application, the AudioClair Meet notetaker, and all related features (the "Service").
By creating an account, accessing or using the Service, you confirm that you have read, understood and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- If you use the Service for an organization, you confirm that you have authority to bind it, and "you" includes that organization.
- You must give accurate information and keep it up to date.
- You are responsible for keeping your credentials confidential and for all activity under your account. Tell us promptly at audioclair.ai@gmail.com if you suspect unauthorized access.
- One person may not maintain multiple accounts to abuse limits or evade enforcement.
3. The Service
AudioClair AI provides AI-powered tools to record, upload, transcribe, summarize, analyze and chat with audio, video and documents, to practice and receive feedback on speaking, and to generate meeting notes. The Service is currently provided free of charge.
We may add, change, limit or remove features at any time. If we later introduce paid features, we will give you clear notice, and you will not be charged for anything without your explicit agreement.
4. Your content and ownership
You own your content. "Your Content" means everything you record, upload, create or input, including audio, video, documents, transcripts and outputs generated for you. As between you and us, you keep all rights in Your Content.
License to us. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, reproduce and display Your Content, and to send it to our service providers, only as necessary to operate, secure, and provide the Service to you. This license ends when you delete the content or your account, subject to the retention periods in our Privacy Policy.
No training. We do not use Your Content to train our own AI models.
AI outputs. As between you and us, you may use outputs generated for you from Your Content for any lawful purpose. Because AI can generate similar outputs for different users, we do not guarantee that outputs are unique or free of third-party rights. You are responsible for reviewing outputs before relying on or publishing them.
Our property. The Service, including its software, design, brand names, logo, text, graphics, the "Diagnosis" materials and all related intellectual property, belongs to AudioClair AI and its licensors. These Terms give you a limited, personal, revocable, non-exclusive, non-transferable right to use the Service. You may not copy, modify, distribute, sell, reverse engineer or create derivative works from any part of the Service except as the law allows.
Feedback. If you give us suggestions or feedback, we may use them without obligation to you.
5. Your responsibilities and rights to what you upload
You confirm that you own Your Content or have all rights, permissions and consents needed to upload it, process it with AI, and grant the license above. This includes the consent of every person whose voice or image is in it, wherever the law requires that consent.
Recording other people. Laws about recording conversations differ by country and state, and some require the consent of all participants. You are solely responsible for complying with them. See our Meeting Recording and Consent Policy.
6. Acceptable use
You agree not to:
- Break any law, or infringe the rights of others, including privacy, publicity and intellectual property rights.
- Record, upload or process any person's voice or image without any consent the law requires.
- Use the Service for stalking, harassment, surveillance of others without lawful basis, blackmail, fraud, impersonation or deception.
- Upload content that is unlawful, defamatory, hateful, sexually explicit involving minors, or that promotes violence or terrorism. We have zero tolerance for child sexual abuse material and will report it to the authorities.
- Use the Service to create deepfakes, voice clones or synthetic media intended to deceive or defame.
- Attempt to access accounts, data or systems that are not yours; probe, scan or test the vulnerability of the Service; or bypass security or access controls.
- Introduce malware, or interfere with or overload the Service, including through automated scraping, bots or excessive requests.
- Use the Service, its outputs or its data to build or train a competing product or an AI model, or to reverse engineer it.
- Resell, sublicense or provide the Service to third parties as your own, without our written permission.
- Remove or hide any notices, or misrepresent your affiliation with us.
- Use the Service to make decisions with legal or similarly significant effects on people (for example hiring, credit, insurance or legal decisions) based solely on AI output.
- Use the AudioClair AI Notetaker to record meetings you are not authorized to attend or record.
7. AI features and no professional advice
- AI-generated transcripts, summaries, analysis, scores, coaching, writing, persona output and chat answers may be inaccurate, incomplete or biased. You must verify anything important against the original source.
- Delivery analysis, scoring, The Verdict, Live Arena, games and coaching are for personal development and entertainment. They are not professional, educational, medical, psychological, employment, legal or financial advice or assessment.
- The Service is not designed for emergencies, or for use as the sole record of legally, medically or financially critical conversations. Keep your own original records.
8. Third-party services
The Service relies on third-party providers (listed in our Privacy Policy) and may integrate with services such as Google sign-in, Google Meet and Microsoft Teams. Your use of those services is subject to their own terms. We are not responsible for third-party services or for changes in their availability or terms.
9. Availability, changes and support
We work to keep the Service reliable, but we do not promise uninterrupted or error-free operation. We may suspend or change parts of the Service for maintenance, security, legal or operational reasons. Because the Service is free and may change, keep your own backups of anything you cannot afford to lose. Use the export and download features regularly.
10. Suspension and termination
- By you: you can stop using the Service and delete your account at any time from Settings, or by contacting us.
- By us: we may suspend or terminate your access, with or without notice, if you breach these Terms, if we are required to by law, if your use creates risk or harm to others or to the Service, or if we discontinue the Service. Where reasonably possible, we will give you a chance to export your content first.
- Effect: on termination your right to use the Service ends. We will delete your content as described in our Privacy Policy. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnity and governing law) will survive.
11. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, and that the Service or outputs will be error-free, uninterrupted, secure or free of harmful components.
Important: We do not guarantee that transcripts, translations, summaries, scores or any AI output are accurate or complete. Do not rely on them without checking.
Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law, including consumer protection law that applies to you.
12. Limitation of liability
To the fullest extent permitted by law:
- AudioClair AI and its operator will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity or reputation, arising from or related to your use of the Service, even if we were told they were possible.
- Because the Service is free, our total aggregate liability for all claims related to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim (which is currently zero) and (b) NGN 50,000.
These limits apply regardless of the legal theory (contract, tort including negligence, or otherwise), and apply only to the extent the law allows. Nothing limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited.
13. Indemnity
You agree to indemnify and hold harmless AudioClair AI and its operator from claims, damages, losses and expenses (including reasonable legal fees) arising from Your Content, your breach of these Terms, your violation of any law or third-party rights, or your recording of any person without required consent.
14. Intellectual property complaints and content reports
If you believe content on the Service infringes your rights, or you want to report abusive content, email audioclair.ai@gmail.com with the subject "Content Report". Include your contact details, a description of the material and where it is, and why you believe it is infringing or unlawful. We will review the report and may remove content and suspend accounts. Because recordings are private to each account, we may need the reporting party to provide additional information.
15. Privacy
Our Privacy Policy explains how we handle personal data and forms part of these Terms.
16. Changes to these Terms
We may revise these Terms. For material changes, we will give notice by email or in the app at least 14 days before they take effect, unless the change is required sooner by law or for security. If you keep using the Service after the effective date, you accept the revised Terms. If you do not agree, stop using the Service and delete your account.
17. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law rules. Before starting a formal claim, please contact us at audioclair.ai@gmail.com so we can try to resolve the matter in good faith within 30 days. If it is not resolved, the courts of Lagos State, Nigeria have jurisdiction, except that nothing prevents either party from seeking urgent injunctive relief in any competent court, and nothing removes any mandatory consumer rights you have in your country of residence.
18. General
- Entire agreement: these Terms, the Privacy Policy, and the Meeting Recording and Consent Policy are the entire agreement between you and us about the Service.
- Severability: if any provision is unenforceable, the rest remains in effect.
- No waiver: our failure to enforce a right is not a waiver of it.
- Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control, including outages of third-party providers, power or internet failures, or acts of government.
- Language: the English version prevails.
- Notices: we may give you notice by email, in the app, or by posting on the Service. You may give notice to audioclair.ai@gmail.com.
